Homeownership isn’t a straight line—it’s a ladder with a missing rung.

Many young families and professionals are ready for homeownership but are not yet mortgage-eligible due to high upfront requirements, particularly large down payments. This creates a structural access gap that delays ownership and limits long-term wealth building.

NUMAI was created to address this gap.

We operate a pre-mortgage pathway that bridges the space between renting and mortgage—allowing people to access their future home earlier, build equity over time, and transition into mortgage financing once they are ready.

UAB Mano Numai (the “Company”) announces the issuance of the second and third tranches of the Company’s bond issue (ISIN: LT0000135824).

The second tranche was issued on 4 February 2026 with a nominal value of EUR 432,000. The third tranche was issued on 5 June 2026 with a nominal value of EUR 1,078,000.

The bonds are ordinary non-convertible fixed-interest bonds with a nominal value of EUR 1,000 per bond and an annual interest rate of 8%, payable semi-annually. The maturity date of the bonds is 20 April 2028.

The second and third tranches were issued through private placement as additional issuances (tap issues) under the same ISIN code and, together with the first tranche, constitute a single series of bonds.

The second tranche was admitted to trading on the Nasdaq Vilnius First North market on 5 February 2026. On 8 June 2026, an additional 1,078 bonds of the third tranche were also admitted to trading on the Nasdaq Vilnius First North market. Following this admission, a total of 8,000 bonds with an aggregate nominal value of EUR 8,000,000 are listed under ISIN LT0000135824.

Nasdaq Vilnius decided to admit 1078 additional bond units of “Mano numai” to the First North market operated by Nasdaq Vilnius at the request of the Company.

Proceeding from the above, the additional bonds of “Mano numai” will be admitted as from June 8, 2026.

Thus, altogether 8 000 bonds (with nominal value each of EUR 1000 and the total nominal value of EUR 8 000 000) of „Mano numai“ (ISIN: LT0000135824) will be traded under the trading code NUMAI080028FA as from June 8.

We would like to inform that Numai’s subsidiary, Numai EE2 OÜ (registration code 17302030), operating in Estonia, successfully concluded a credit agreement with AS LHV Pank (registration code 10539549) at the end of March 2026.
This financing is intended to support our continued growth in the Estonian market and will be used to build and strengthen our real estate portfolio. It will also enable further development of our Rent-to-Buy offering, which is one of the Group’s key strategic priorities.
This agreement marks an important milestone, strengthening our funding base and enhancing our capital structure with the addition of a new local banking partner alongside our existing financing. It also reflects growing confidence in our operating performance and business model in the Estonian market.
We remain committed to disciplined growth and to consistently creating long-term value for our investors.

Nasdaq Vilnius has decided, at the request of the Company, to admit 432 additionally issued bonds of UAB “Mano numai” (ISIN code LT0000135824) to trading on the alternative First North market, operated by AB Nasdaq Vilnius, as of 6 February 2026.

Accordingly, as of 6 February 2026, a total of 6,922 bonds (each with a nominal value of EUR 1,000 and a total nominal value of EUR 6,922,000) will be admitted to trading on the alternative Nasdaq Baltic First North market, traded in the order book under the trading code NUMAI080028FA.

UAB Mano numai hereby informs of the implemented and planned structural changes within the Numai group of companies.

 

Implemented legal actions

 

On 31 December 2025, a demerger of UAB Mano numai was completed, whereby a new legal entity was separated from the company and a part of the business was transferred to it as a whole of assets, rights and obligations.

 

In accordance with the terms of the demerger, following its completion, the provision of portfolio management services, the organisation and supervision of the day-to-day operations of the “Rent-to-Buy” model, customer acquisition and servicing, contract administration, marketing, public communications and other related activities were transferred to and are now carried out by the newly established company UAB Numai group operations.

 

The direct shareholders of both UAB Mano numai and the company established following the demerger, UAB Numai group operations, remain the same — Aurimas Čiagus and Martynas Kavaliauskas, each holding 50% of the shares in each company.

 

In addition, a new company — Numai group, UAB — has been established, the purpose of which is, in the future, to become the parent company of the Numai group (UAB Mano numai, UAB Numai group operations and UAB Plote), directly controlling all three of the above-mentioned companies. This step has not yet been implemented

 

Numai group, UAB has been established as the group’s management centre in Lithuania, which will be responsible for strategic decision-making in relation to investments, finance and development. Upon implementation of the intended structure, Numai group, UAB will establish consistent group governance practices, make decisions regarding the operations of subsidiary companies, manage an active investment portfolio and perform other key functions typically attributed to a parent company.

 

Planned legal actions not yet implemented

In the near future, it is planned that:

  1. Numai group, UAB will acquire the shares of UAB Plote owned by UAB Mano numai;
  2. Numai group, UAB will acquire from shareholders Aurimas Čiagus and Martynas Kavaliauskas the shares of UAB Mano numai and UAB Numai group operations owned by them.

Following the completion of these legal actions, Aurimas Čiagus and Martynas Kavaliauskas will continue to remain the direct shareholders of Numai group, UAB, and Numai group, UAB will become the sole direct shareholder of UAB Mano numai, UAB Numai group operations and UAB Plote.

 

These structural changes are being implemented in order to establish a centralised group management structure and to ensure more efficient control of subsidiary companies.
